Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Apex Acquisitions (trading as "Apex ACQ," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our services or website.

2. Description of Services

Apex ACQ provides done-for-you digital marketing and advertising services for home service contractors across the United States and Canada. Our services include, but are not limited to:

  • Google Ads campaign management - including Search campaigns, Display campaigns, and Local Service Ads (LSA) setup and optimization
  • Facebook and Instagram (Meta) advertising - campaign creation, audience targeting, creative development, and ongoing optimization
  • CRM setup and automation - GoHighLevel configuration, pipeline management, and automated workflows
  • Lead generation systems - custom-built funnels, landing pages, and lead capture forms
  • Automated follow-up sequences - SMS, email, and voicemail drop campaigns
  • Landing page and website design - conversion-optimized pages for contractor businesses
  • Reporting and analytics - performance tracking, conversion reporting, and ROI analysis across all advertising platforms including Google Ads and Meta Ads

3. Google Ads Services

As part of our advertising management services, Apex ACQ manages Google Ads campaigns on behalf of clients. This includes:

  • Creating and managing Google Ads Search, Display, and Local Service Ad campaigns
  • Keyword research, bid management, and budget optimization
  • Ad copywriting and creative development for Google platforms
  • Conversion tracking setup and performance monitoring
  • Regular reporting on campaign performance, cost-per-lead, and return on ad spend

All Google Ads management is performed in compliance with Google Ads policies and the Google Ads API Terms of Service. Client ad spend is billed directly by Google to the client's payment method on file within their Google Ads account.

4. Client Responsibilities

As a client of Apex ACQ, you agree to:

  • Provide accurate and complete business information required for campaign setup
  • Maintain valid payment methods for advertising platform accounts (Google Ads, Meta Ads)
  • Respond to leads generated by campaigns in a timely manner
  • Grant necessary access to advertising accounts, CRM systems, and other platforms
  • Comply with all applicable laws and regulations related to your business and advertising
  • Not engage in fraudulent, misleading, or deceptive business practices

5. Payment Terms

Service fees are outlined in your signed agreement or invoice. Payment is due as specified in your service agreement. All fees are in USD unless otherwise stated. Late payments may result in service suspension. Refunds are handled on a case-by-case basis as outlined in your specific service agreement.

Ad spend budgets paid to Google, Meta, or other advertising platforms are separate from Apex ACQ service fees and are non-refundable by Apex ACQ.

6. No Guarantee of Results

While we work diligently to achieve the best possible outcomes, Apex ACQ does not guarantee specific results, including but not limited to: a specific number of leads, revenue figures, cost-per-lead targets, or return on investment. Marketing results depend on many factors outside our control, including market conditions, competition, seasonality, and client responsiveness to leads.

7. Intellectual Property

All marketing materials, ad creatives, landing pages, automation workflows, and other deliverables created by Apex ACQ remain our intellectual property until the client's account is paid in full. Upon full payment, clients receive a license to use deliverables for their business. Proprietary systems, templates, and methodologies remain the property of Apex ACQ.

8. Third-Party Platforms

Our services rely on third-party platforms including Google Ads, Meta (Facebook/Instagram), GoHighLevel, Stripe, and others. Apex ACQ is not responsible for outages, policy changes, account suspensions, or other disruptions caused by these third-party platforms. Clients must comply with the terms of service of all platforms used in their campaigns.

9. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the business relationship. This includes business strategies, campaign data, customer lists, pricing, and financial information. This obligation survives the termination of services.

10. Limitation of Liability

To the maximum extent permitted by law, Apex ACQ's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the three (3) months preceding the claim. Apex ACQ is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business opportunities.

11. Indemnification

You agree to indemnify and hold harmless Apex ACQ, its owners, employees, and contractors from any claims, damages, or expenses arising from your breach of these terms, your use of our services, or your business operations.

12. Termination

Either party may terminate services with 30 days written notice, unless otherwise specified in your service agreement. Apex ACQ reserves the right to terminate services immediately if a client violates these terms, engages in fraudulent activity, or fails to make payment. Upon termination, access to Apex ACQ systems and deliverables may be revoked.

13. Data Handling and Privacy

We take your privacy seriously. Our collection, use, and protection of personal data is governed by our Privacy Policy. By using our services, you also agree to our Privacy Policy. When managing Google Ads campaigns, we access campaign performance data, conversion data, and audience data solely for the purpose of managing and optimizing your campaigns.

14. Modifications to Terms

Apex ACQ reserves the right to update or modify these Terms of Service at any time. Changes will be posted on this page with an updated effective date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.

15. Governing Law

These Terms of Service are governed by the laws of Queensland, Australia. Any disputes arising from these terms or our services shall be resolved in the courts of Queensland, Australia.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
